1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and EconoRiders, Inc. ("EconoRiders," "we," "our," or "us") governing your access to and use of the EconoRiders website, mobile applications, and delivery partnership services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

EconoRiders provides a delivery partnership service that connects restaurants with a network of professional drivers to fulfill delivery orders received through third-party platforms. Our Service includes technology integration, driver management, and delivery logistics to help restaurants reduce delivery costs and improve customer satisfaction.

3. Eligibility

To use our Service, you must:

  • Be at least 18 years of age
  • Be authorized to act on behalf of the restaurant you represent
  • Have the legal authority to enter into binding contracts
  • Comply with these Terms and all applicable laws and regulations

4. Account Registration and Security

To access certain features of our Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

5. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Transmit or upload any content that is harmful, offensive, or inappropriate
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Use the Service to compete with EconoRiders or for any commercial purpose not expressly permitted

6. Restaurant Partnership Terms

If you are a restaurant partner, additional terms apply to your use of the Service:

  • You must maintain all necessary licenses and permits to operate your restaurant
  • You are responsible for the quality and safety of all food items
  • You must comply with all applicable health and safety regulations
  • You agree to provide accurate menu information and pricing
  • You are responsible for preparing orders in a timely manner

7. Fees and Payment

Our fee structure will be outlined in your service agreement. Fees may include:

  • Delivery service fees based on order volume or flat rate structure
  • Technology platform fees for system integration
  • Additional fees for premium services or extended coverage areas

Payment terms will be specified in your service agreement. We reserve the right to modify our fee structure with appropriate notice.

8. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of EconoRiders and its licensors. The Service is protected by copyright, trademark, and other laws. You may not reproduce, distribute, modify, or create derivative works of any part of the Service without our express written permission.

9. Privacy Policy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection and use of your information.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ECONORIDERS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, ECONORIDERS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

11. Limitation of Liability

IN NO EVENT SHALL ECONORIDERS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to defend, indemnify, and hold harmless EconoRiders and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

13. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

14. Governing Law

These Terms shall be interpreted and governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Arlington County, Virginia.

15. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Arlington, Virginia.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

17. Entire Agreement

These Terms constitute the sole and entire agreement between you and EconoRiders regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

18. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

19. Force Majeure

EconoRiders shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature or acts of God, acts of war, terrorism, riots, civil disorders, rebellions or revolutions, or any other cause beyond our reasonable control.
